The shareholders utilize their rights at the Annual General Meeting and exercise there their voting rights. Each share grants one vote. We do not have any multiple-vote shares or other shares which grant particular rights. We want to achieve the principle of treating shareholders equally because our shareholders carry the same entrepreneur risk for each share equally. We do not have any ceiling on voting rights.

Via the exercise of voting rights at the Annual General Meeting it is ensured that the shareholders participate in important decisions. This relates particularly to changes of the articles of incorporation, the issue of new shares and/or convertible and warrant bonds, approval of the Management Board and Supervisory Board, appropriation of profit and election of the shareholder representatives in the Supervisory Board.

The Annual General Meeting offers shareholders the opportunity either to exercise their voting rights themselves or to have it exercised by a proxy of their choice or a proxy of the company bound by instructions. When convening the Annual General Meeting we explain how instructions to exercise voting rights can be granted.

The reports and documents for the Annual General Meeting required by law, including the annual report, shall also be published with the agenda of the Annual General Meeting here on the web page.

In addition, on request, we transmit all German and international financial service providers, shareholders and shareholder association the invitation to the Annual General Meeting together with the documents convening the meeting in electronic form.

We transmit the speech of the Chairman of the Management Board in Internet.

At the Annual General Meeting each of our shareholders has the right to take the floor and raise relevant questions and table motions. In the interests of all shareholders the Meeting Chairman is responsible for dealing with matters efficiently in the Annual General Meeting. He is guided here by the principle that an Annual General Meeting is concluded after four to six hours at the latest.
